Registered agent vs owner: why the Sunbiz address is not the owner's

A registered agent is the person or company a Florida business names to receive legal papers for it, at an office in Florida kept for that purpose. It is not the owner, and its address is not the owner's: Sunbiz does not list owners at all. The property belongs to the company; the people who run it are the managers, members or officers on the same filing.

What the law asks of an agent

Every Florida LLC and corporation must keep a registered agent and a registered office in the state (section 605.0113 for LLCs, section 607.0501 for corporations). The agent is either a Florida resident whose business address is that office, or a company authorized to act as one. Its job is to receive any process, notice or demand served on the company and send it on. Nothing in it requires the agent to own, manage or even know the business beyond that.

So an agent's address answers one question: where a lawsuit against the company would be delivered. On 99.8% of the filings we hold, the agent's address is in Florida, even though 9.3% of those companies give a principal office in another state.

Three kinds of agent, three readings

  1. The agent is also a manager or officer. Small companies often name one of their own. On 214,001 filings, 63.7% of those with a person as agent, the agent's name also appears among the managers, members or officers. Here the agent is one of the people behind the company, because of that second role, not the first.
  2. The agent is a company. A formation service, a law firm or an accounting firm, named on 114,487 filings, a quarter of the total. It tells you who filed the papers, not who owns anything.
  3. The agent is a person with no other role. On 121,694 filings the person agent's name matches no officer, manager or member on the same filing, though some of them are the same person spelled another way. That person receives the papers; the filing does not say why, so do not read ownership into it.

Four in five agent names appear on a single filing, and 190,043 of those are people. The other end is a short list of services: 99 of the 106 names on a hundred or more filings are companies, and between them the 106 serve 11.0% of all the filings. An agent whose name turns up on hundreds of unrelated companies is a service, and its address is where it receives papers for all of them.

Addresses on the filing

A filing carries up to three kinds of address: the principal office, the mailing address, and the agent's. On 52.7% of filings the agent's street address is the same as the principal office's. That share is 62.7% when the agent is a person and 23.7% when it is a company. A shared address says the company and its agent receive mail in the same place; it still does not make the agent an owner.

The county tax roll adds a fourth address: where the bill for the property goes. That is the address tied to the parcel itself, and it is the one to read first. See every property one owner holds for what it groups.

Where the owners are, and are not

  • The owner of the property is the company, as the deed and the roll say.
  • The people with authority are the managers or authorized members of an LLC, and the officers and directors of a corporation, with the addresses they filed. Following them is who is behind a Florida LLC, and every company one person runs is the officer search.
  • Shares of ownership are not on the filing. It names the people authorized to manage or act for the company, not who holds what part of it.

When a parcel's owner is a Florida company, the report's Sunbiz section lists its status and every party on the filing, each marked Registered agent or with its title, and the city and state filed. A name marked only Registered agent is the agent; one with a title as well is a manager or officer. From the company, one tap opens every parcel matched to it.

The Division of Corporations' filing is the authority on a company's agent, officers and addresses; it records what each company filed about itself. Open the filing on Sunbiz before anything important rests on it.
